	To be an authorized affiliate of Lawyers Guide, Inc., and use the trademarks and logos of LawyersGuide.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the LawyersGuide.com, Inc. service as an affiliate. By signing up for the LawyersGuide.com, Inc. affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Lawyers Guide, Inc. (Lawyers Guide) Affiliate Program Terms and Conditions 1. No Spam Policy You are free to use affiliate links from Lawyers Guide in a manner consistent with law and normal marketing etiquette, however, sending unsolicited e-mail or "spam" is prohibited. Lawyers Guide does not endorse the use of spam and your affiliate account may be terminated, including any pending commissions, if at any time is brought to our attention that you are utilizing spam or other unethical marketing behavior. 2. Commissions Commissions are to be paid for the following products/services in the following amounts, with a minimum of $25.00 per lawyer referral sales: Lawyer Referral Sales Tier 1 Commission based on the number of Lawyer Referral Sales. Referral Sales 1 thru 100 = $25.00 101 thru 250 = $50.00 251 thru 500 = $75.00 Over 500 = $100.00 Tier 2 Commission is 20%. The 20% commission is calculated from the original affiliate's commission. Commissions are to be paid on the 1st of every month, following the month you send traffic, once your account has reached $50 in commissions. If your account has not reached $50 in commissions, then the balance will be rolled over to the next month. If you have referred a click to our site, the “cookie” to track that customer will remain on the users computer for 180 days, during which you will still receive credit for any sales you’ve referred. Commissions will NOT be paid for the following: refunded, fraudulent or cancelled orders. chargebacks, fraudulent payment sources. *the affiliate referring him/herself as a client. Further, no commissions shall be paid for any sales that have transpired on our partner or affiliate websites. 3. Payment Payment to affiliates is made on the 1st of every month following the month of the sales referral, provided your account has accrued at least $50 in commissions. If your account has not accrued $50 in commissions then the balance will rollover until it reaches the minimum. Note that the initial balance deposit of $10.00, if any, cannot be claimed as a commission until you have generated at least $50 in commissions total. The initial $10.00 cannot be paid out to you unless accompanied by a qualified additional commission in any amount. 4. Commission Structure Lawyers Guide reserves the right to modify the terms of commission structure and delivery at any time. 5. Order Processing Lawyers Guide will process all orders placed by customers who are linked to our site from your site. Lawyers Guide will be responsible for all aspects of order processing and fulfillment, customer service and returns as it relates to orders placed on our site. We reserve the right to reject any and all orders that do not meet the requirements of Lawyers Guide, at our sole discretion. 6. Term & Termination The period during which this Agreement will be in effect begins upon our acceptance of you as an Affiliate and will end when terminated by either party. Either party may terminate the Agreement at any time, with or without cause. Either party may terminate the Agreement immediately, without notice, if the other party breaches any material term of the Agreement and the breach is not cured within 10 days of written notification. Upon the termination of this Agreement, you must immediately cease use of all links to our site and any other materials provided to you in connection with this Agreement, including any Lawyers Guide trademarks and logos. You are only entitled to fees earned during the term of the Agreement. We may withhold your final payment for a reasonable time to ensure that the links and references to our site are removed from your site. 7. Indemnification You agree to indemnify and hold harmless Lawyers Guide and its directors, officers, employees, agents and shareholders against any loss, liability, damage or expense that we may sustain by reason of any action or inaction by you in connection with your solicitation of orders for services under this agreement or the operation or contents of your web site. 8. Disclaimer Products, information, and other content available from or through the site are provided "as-is," "as available," and all warranties, express or implied, are disclaimed to the fullest extent permissible pursuant to applicable law. In particular, but not as a limitation thereof, we are not liable for any compensatory, indirect, special, incidental or consequential damages (including damages for loss of business, loss of profits, litigation, or the like), whether based on breach of contract, breach of warranty, tort, product liability or otherwise; nor for any third party claims of any nature, even if advised of the possibility of such damages or claims. The negation of damages set forth above are fundamental elements of the basis of the bargain between us and you. The information and other content available from or through the site, and the site itself, would not be provided without such limitations. No advice or information, whether oral or written, you obtain from us from or through the site shall create any warranty, representation, or guarantee not expressly stated in this agreement.
